{"id":79101,"date":"2013-10-27T18:15:47","date_gmt":"2013-10-27T17:15:47","guid":{"rendered":"https:\/\/gespreobra.com\/news\/the-subcontracting-law-key-aspects\/"},"modified":"2013-10-27T18:15:47","modified_gmt":"2013-10-27T17:15:47","slug":"the-subcontracting-law-key-aspects","status":"publish","type":"post","link":"https:\/\/gespreobra.com\/en\/news\/the-subcontracting-law-key-aspects\/","title":{"rendered":"The Subcontracting Law: Key Aspects"},"content":{"rendered":"<h1 style=\"text-align: justify;\">THE SUBCONTRACTING LAW<\/h1>\n<h2 style=\"text-align: justify;\"><em>Subcontracting Chains.<\/em><\/h2>\n<p style=\"text-align: justify;\">The excessive number of subcontracting chains, particularly in the construction sector, allows the participation of companies with hardly any organizational structure to guarantee minimum conditions for the proper fulfillment of the mandatory <strong>obligations regarding worker safety and health protection<\/strong>.<\/p>\n<p style=\"text-align: justify;\">The aforementioned, combined with \u201c<strong>piecework<\/strong>\u201d, bogus self-employment, and precarious employment, made specific regulation of subcontracting necessary, with the aim of controlling these phenomena. <\/p>\n<p style=\"text-align: justify;\">The <strong>Subcontracting Law<\/strong> or <a href=\"https:\/\/www.boe.es\/buscar\/act.php?id=BOE-A-2006-18205&#038;p=20091223&#038;tn=1\" target=\"_blank\" rel=\"noopener\">Law 32\/2006, of October 18, regulating subcontracting in the Construction Sector<\/a>, introduces a series of solvency and quality requirements for companies wishing to participate in the subcontracting process in the construction sector. It regulates the subcontracting regime, strictly indicating the circumstances under which the subcontracting chain could be extended, introduces the so-called Subcontracting Book, and strengthens the participation mechanisms for worker representatives from the different companies involved in the execution of the work.<\/p>\n<p style=\"text-align: justify;\">Likewise, the Subcontracting Law introduces modifications to the current Consolidated Text of the Law on Infractions and Sanctions in the Social Order, approved by Royal Legislative Decree 5\/2000, of August 4, establishing an adequate classification of administrative infractions that may arise from non-compliance with its provisions.<\/p>\n<p style=\"text-align: justify;\">For its part, Royal Decree 1109\/2007, of August 24, develops Law 32\/2006 in four points: the Register of Accredited Companies, the Subcontracting Book, the rules for calculating percentages of permanent workers, and the documentary simplification of obligations established for construction works in the legal system.<\/p>\n<p style=\"text-align: justify;\">The Subcontracting Law primarily establishes three types of measures to regulate subcontracting in construction. Firstly, <strong>a series of quality and solvency requirements are determined<\/strong> that all companies and professionals participating in the subcontracting chain must meet. <strong>For this purpose, a Register of Accredited Companies (hereinafter REA) is established, dependent on the competent labor authority of each autonomous community with legal effects throughout the state.<\/strong> <\/p>\n<p style=\"text-align: justify;\">Secondly, <strong>a new regime for its ordering and limitation is established<\/strong>. In this regard, it is prohibited, for example, for a third-tier subcontractor or a self-employed professional to subcontract. <strong>Subcontracting is also limited in the case of \u201cintensive subcontractors\u201d<\/strong>, i.e., subcontractors who only provide labor and hand tools, including portable motorized ones, necessary for carrying out the contracted activity. <\/p>\n<p style=\"text-align: justify;\">Thirdly, it is worth noting that <strong>specific transparency and special documentation requirements are added to the entire subcontracting process<\/strong>. For example, <strong>contractors are obliged to have a Subcontracting Book,<\/strong> which must remain on site at all times and where all subcontracts carried out on the site until its completion must be recorded. This aims to promote work quality and ensure compliance with health and safety regulations.  <\/p>\n<figure id=\"attachment_75634\" aria-describedby=\"caption-attachment-75634\" style=\"width: 430px\" class=\"wp-caption aligncenter\"><img fetchpriority=\"high\" decoding=\"async\" class=\"size-full wp-image-75634\" src=\"https:\/\/gespreobra.com\/wp-content\/uploads\/2017\/08\/Portada.jpg\" alt=\"Subcontracting Chain according to the Subcontracting Law\" width=\"430\" height=\"270\"><figcaption id=\"caption-attachment-75634\" class=\"wp-caption-text\">Subcontracting Chain according to the Subcontracting Law<\/figcaption><\/figure>\n<h2 style=\"text-align: justify;\"><em>What is understood by subcontracting?<\/em><\/h2>\n<p style=\"text-align: justify;\">The form of productive organization by virtue of which the contractor or subcontractor entrusts another subcontractor or self-employed worker with part of what has been entrusted to them. This commercial practice is established in a series of steps which are the so-called subcontracting levels. <\/p>\n<p style=\"text-align: justify;\">The subcontracting regulations apply whenever subcontracting contracts are entered into, in both the private and public sectors, for execution within a CONSTRUCTION WORK.<\/p>\n<p style=\"text-align: justify;\">A \u201c<strong>Construction Work<\/strong>\u201d is defined, according to RD 1627\/1997, on minimum safety and health provisions in construction works, as \u201c<em>any work, public or private, in which construction or civil engineering work is carried out, whose non-exhaustive list includes:<\/em><\/p>\n<ul style=\"text-align: justify;\">\n<li><i><em>Excavation<\/em><\/i><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Earthworks<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Construction<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Assembly and disassembly of prefabricated elements<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Conditioning or installations<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Transformation<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Rehabilitation<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Repair<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Dismantling<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Demolition<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Maintenance<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><em>Conservation &#8211; Painting and cleaning works<\/em><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><strong><em>Sanitation<\/em><\/strong><em>\u201d<\/em><\/li>\n<\/ul>\n<p style=\"text-align: justify;\">Therefore, the Subcontracting Law will apply to all companies carrying out these types of works, both as contractors and subcontractors, regardless of the company&#8217;s sector or the collective agreement applicable to it, and whether they are public or private works.<\/p>\n<p style=\"text-align: justify;\">In the case of a Temporary Business Union (UTE), the following parameters must be taken into account:<\/p>\n<ul style=\"text-align: justify;\">\n<li>If the UTE directly executes the work, it means it meets the requirements demanded of contractors by the Law. In this case, there will be a single safety and health plan for the work. <\/li>\n<li>If the UTE does not directly execute the work, it cannot subcontract; instead, each of its member companies, which are considered contractors under the Law, subcontract. In this case, there will be as many safety and health plans for the work as there are companies integrating the UTE and considered contractors. <\/li>\n<li>If the UTE executes a part of the work and its member companies execute the rest, there will be one safety and health plan by the UTE, since in this case the UTE executes, therefore it is a contractor, and also as many safety and health plans as there are member companies acting as contractors.<\/li>\n<li>When the UTE directly executes the work, it is a contractor and must meet the requirements demanded by the Law, including the obligation to register in the Register of Accredited Companies of the Autonomous Community where the UTE has its registered office.<\/li>\n<\/ul>\n<h2 style=\"text-align: justify;\"><em>What are the requirements for contractors and subcontractors wishing to participate in the subcontracting process in the construction sector?<\/em><\/h2>\n<ul style=\"text-align: justify;\">\n<li>Possess their own productive organization, have the necessary material (tools, machinery, etc.) and human resources, and use them for the development of the contracted activity.<\/li>\n<li>Assume the risks, obligations, and responsibilities inherent to the development of business activity.<\/li>\n<li>Directly exercise the powers of organization and direction over the work performed by their workers on site.<\/li>\n<li>Certify that the company&#8217;s human resources have the necessary training in preventive matters.<\/li>\n<li>Have a preventive organization appropriate to what is established in the Law on Prevention of Occupational Risks.<\/li>\n<li><strong>Be registered in the Register of Accredited Companies (REA)<\/strong>.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">These requirements aim to prevent illegal assignment of workers.<\/p>\n<p style=\"text-align: justify;\">Illegal assignment of workers occurs whenever any of the following circumstances arise:<\/p>\n<ul style=\"text-align: justify;\">\n<li>When the purpose of service contracts between companies is limited to a mere provision of workers from the assigning company to the assignee company.<\/li>\n<li>When the assigning company lacks its own stable activity or organization.<\/li>\n<li>When it does not have the necessary means to carry out its activity.<\/li>\n<li>When it does not exercise the functions inherent to its status as an employer.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">Regarding <b>self-employed workers<\/b> (without employees), they must meet the following requirements:<\/p>\n<p style=\"text-align: justify;\"><strong>To participate in the subcontracting process, they must be able to execute the work with autonomy and their own responsibility, outside the scope of organization and direction of the company that hired them.<\/strong><\/p>\n<p style=\"text-align: justify;\"><strong>When the self-employed worker employs workers under their charge, they will acquire the status of contractor or subcontractor<\/strong>; therefore, they may subcontract respecting the levels or tiers of the subcontracting regime and must comply with the requirements demanded of contractors and subcontractors to intervene in the subcontracting process in the construction sector, as previously mentioned, including registration in the REA.<\/p>\n<h2 style=\"text-align: justify;\"><em>Subcontracting Regime.<\/em><\/h2>\n<h3 style=\"text-align: justify;\">DEVELOPER<\/h3>\n<p style=\"text-align: justify;\">May contract directly with as many contractors as deemed appropriate, whether natural or legal persons, and also with self-employed workers without employees.<\/p>\n<h3 style=\"text-align: justify;\">CONTRACTOR<\/h3>\n<p style=\"text-align: justify;\">May contract the execution of works previously contracted with the developer:<\/p>\n<ul style=\"text-align: justify;\">\n<li>With subcontracting companies.<\/li>\n<li>With self-employed workers.<\/li>\n<\/ul>\n<h3 style=\"text-align: justify;\">FIRST AND SECOND SUBCONTRACTOR<\/h3>\n<p style=\"text-align: justify;\">May subcontract the execution of the works they have respectively contracted.<\/p>\n<h3 style=\"text-align: justify;\">THIRD SUBCONTRACTOR<\/h3>\n<p style=\"text-align: justify;\">May not subcontract the works entrusted to them, neither with subcontracting companies nor with self-employed workers.<\/p>\n<h3 style=\"text-align: justify;\">SELF-EMPLOYED WORKER<\/h3>\n<p style=\"text-align: justify;\">There are two types of self-employed workers:<\/p>\n<ol style=\"text-align: justify;\">\n<li>a) Self-employed worker <strong>WITHOUT<\/strong> employees.<\/li>\n<li>b) Self-employed worker <strong>WITH<\/strong> employees.<\/li>\n<\/ol>\n<p style=\"text-align: justify;\"><em>Self-employed worker WITHOUT employees:<\/em><\/p>\n<p style=\"text-align: justify;\">The self-employed worker cannot subcontract the works entrusted to them to other subcontracting companies or other self-employed workers.<\/p>\n<p style=\"text-align: justify;\">Therefore, the subcontracting chain would end with them <strong>UNLESS<\/strong> there is a circumstance of <strong>FORCE MAJEURE<\/strong>; in which case, it may be extended by one additional level.<\/p>\n<p style=\"text-align: justify;\"><em>Self-employed worker <strong>WITH<\/strong> employees:<\/em><\/p>\n<p style=\"text-align: justify;\">When the self-employed worker employs workers on the site, they will be considered a contractor or subcontractor, and therefore may subcontract, respecting the established legal levels of the subcontracting chain.<\/p>\n<p>&nbsp;<\/p>\n<p>All these relevant aspects of the Subcontracting Law, as well as others related to current labor legislation and specifically in the field of Occupational Risk Prevention, make it necessary and indispensable to have <a href=\"https:\/\/gespreobra.com\/consultoria-de-prl\/asesoramiento-en-materia-de-prl\/\" target=\"_blank\" rel=\"noopener\"><strong>adequate advice on safety and health prevention<\/strong><\/a> and its application to the construction sector, provided by experts such as the professionals at <a href=\"https:\/\/gespreobra.com\/en\/\" target=\"_blank\" rel=\"noopener\"><strong>GespreObra<\/strong><\/a>.<\/p>\n<p>&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>THE SUBCONTRACTING LAW Subcontracting Chains.
